By accessing or using the Platform, Vendor agrees to be bound by these Terms. If Vendor does not agree to these Terms, Vendor may not use the Platform.

  1. Account Registration: Vendor must create an account on the Platform by providing accurate and complete information. Vendor is solely responsible for maintaining the confidentiality of its account information and for all activities that occur under its account. Vendor agrees to notify Provider immediately of any unauthorized use or suspected breach of its account.
  2. Use of the Platform: Vendor may use the Platform to manage its customers, process online payments, and perform other related tasks as allowed by the features and functionality of the Platform. Vendor agrees not to use the Platform for any illegal, unethical, or unauthorized purposes, and to comply with all applicable laws and regulations.
  3. Payment Processing: Vendor may accept online payments from its customers through the Platform. Vendor is responsible for configuring its payment processing settings, including connecting its own payment gateway, and ensuring that all transactions comply with applicable laws and regulations. Provider is not responsible for any disputes, chargebacks, or other issues related to payment processing, which are solely between Vendor and its customers.
  4. Data Privacy: Provider will take reasonable measures to protect Vendor's data on the Platform, but Vendor acknowledges that no data transmission or storage is completely secure. Vendor is solely responsible for the accuracy, legality, and compliance of its data and content uploaded to the Platform. Provider may collect and use Vendor's data in accordance with its privacy policy.
  5. Intellectual Property: Vendor acknowledges that Provider owns all rights, title, and interest in and to the Platform, including any software, code, and documentation. Vendor may not modify, copy, distribute, or otherwise use the Platform or any of its components without Provider's prior written consent.
  6. Support and Maintenance: Provider will provide reasonable technical support and maintenance for the Platform during the term of these Terms. Vendor may contact Provider for assistance with technical issues related to the Platform.
  7. Term and Termination: These Terms will commence on the date Vendor creates an account on the Platform and will continue until terminated by either party. Either party may terminate these Terms for any reason with written notice. Upon termination, Vendor's access to the Platform will be deactivated, and Provider may delete Vendor's data from the Platform.
  8. Disclaimer of Warranties: The platform is provided "as is" and without warranties of any kind, whether express or implied. provider disclaims all warranties, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  9. Limitation of Liability: To the maximum extent permitted by applicable law, provider shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to these terms or the use of the platform, even if advised of the possibility of such damages. provider's total liability to vendor for any claims arising out of or related to these terms or the platform shall be limited to the amount paid by vendor to provider for the platform in the twelve (12) months prior to the event giving rise to the claim.
  10. Governing Law and Dispute Resolution: These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction].
